How is the privacy of my information maintained?
Your listing is visible to other users who have registered with EdenX Capital. Depending on the nature of the transaction you are listing or seeking, listing may be hosted in different segments of the platform to protect your confidentiality.
You also have the option to create your listing without identifiable information (no-name teaser) to protect your confidentiality and identity.
Upon receiving enquiries on your listing from counterparties, you will have full control to share and grant access to additional company specific confidential information to each individual counterparty.
What services does EdenX Capital provide?
For Investors, we help you find the right business or opportunity to buy or invest in, driven by our matchmaking engine to find you the most relevant deals for your objectives.
For Business Owners and Franchises, we support you through a guided process and support you in your preparation for a sale or capital raise. We then help you find the right investors, driven by our matchmaking engine to find you a suitable investor based on your objectives and profile.
Who is EdenX Capital?
EdenX Capital is an end-to-end deal network connecting credible businesses with modern investors, enabling confident dealmaking from discovery to close, and is a member of the Edex Holdings group of companies (“Edex”).
Edex was formed from the merger of Eden Exchange and Dealcierge, a SC Ventures incubated venture. The group also includes capabilities in the franchise consulting and media under the Franchise Ready and Franchise Media New Zealand brands.
Will EdenX be able to advise me on how to sell my company?
EdenX Capital is a platform ecosystem that facilitate the connections to the counterparties and support needed to successfully close a transaction. However, we neither provide corporate finance advisory nor M&A advisory.

What is the Investor / Buyer Client Classification?
EdenX Capital is required to assess whether Investors / Buyers onboarded to the have the relevant knowledge or experience to understand the risks and features of the products before offering them. EdenX Capital does this by assessing and classifying Investor / Buyer clients into one of the following categories.
EdenX Capital is currently only able to onboard clients who are Institutional Investors and Accredited Investors onto our platform’s Private Market.
Exempt Investors
1. Institutional Investor
An Institutional Investor is as defined in the Singapore Securities & Futures Act, 2001 of Singapore (the “SFA”) .
If you are classified as an Institutional Investor, you will be able to access the products and services provided by or through our platform’s Private Market.
2. Accredited Investor
An Accredited Investor is:
Individual mentioned in section 4A(1)(a)(i) of the SFA
An individual mentioned in section 4A(1)(a)(i) of the SFA is an individual:
(A) whose net personal assets exceed in value S$2 million (or its equivalent in a foreign currency);
(B) whose financial assets (net of any related liabilities) exceed in value S$1 million (or its equivalent in a foreign currency) or such other amount as the MAS may prescribe in place of the first amount, where “financial asset” means:
(BA) a deposit as defined in section 4B of the Banking Act, Chapter 19 of Singapore;
(BB) an investment product1 as defined in section 2(1) of the Financial Advisers Act, 2001 of Singapore; or
(BC) any other asset as may be prescribed by regulations made under section 341 of the SFA; or
(C) whose income in the preceding 12 months is not less than S$300,000 (or its equivalent in a foreign currency).
In determining the value of an individual’s net personal assets for the purposes of subsection (1)(a)(i)(A), the value of the individual’s primary residence:
(a) is to be calculated by deducting any outstanding amounts in respect of any credit facility that is secured by the residence from the estimated fair market value of the residence; and
(b) is taken to be the lower of the following:
(i) the value calculated under paragraph (a);
(ii) S$1 million.
Corporation mentioned in section 4A(1)(a)(ii) of the SFA
A corporation mentioned in section 4A(1)(a)(ii) of the SFA is a corporation with net assets exceeding S$10 million in value (or its equivalent in a foreign currency), as determined by:
(A) the most recent audited balance-sheet of the corporation; or
(B) where the corporation is not required to prepare audited accounts regularly, a balance-sheet of the corporation certified by the corporation as giving a true and fair view of the state of affairs of the corporation as of the date of the balance sheet, which date shall be within the preceding 12 months.
Trustee mentioned in section 4A(1)(a)(iii) of the SFA
A trustee mentioned in section 4A(1)(a)(iii) of the SFA is the trustee of:
(a) any trust all the beneficiaries of which are accredited investors within the meaning of section 4A(1)(a)(i), (ii) or (iv) of the SFA;
(b) any trust all the settlors of which:
(i) are accredited investors within the meaning of section 4A(1)(a)(i), (ii) or (iv) of the SFA;
(ii) have reserved to themselves all powers of investment and asset management functions under the trust; and
(iii) have reserved to themselves the power to revoke the trust;
(c) any trust the subject matter of which exceeds S$10 million (or its equivalent in a foreign currency) in value.
Person mentioned in section 4A(1)(a)(iv) of the SFA
A person mentioned in section 4A(1)(a)(iv) of the SFA is:
(a) an entity (other than a corporation) with net assets exceeding S$10 million (or its equivalent in a foreign currency) in value;
(b) a partnership (other than a limited liability partnership) in which every partner is an accredited investor; or
(c) a corporation the entire share capital of which is owned by one or more persons, all of whom are accredited investors.
General Notices for Accredited Investor
General Warning: Accredited Investors are assumed to be better informed, and better able to access resources to protect their own interests, and therefore require less regulatory protection. Investors who agree to be treated as Accredited Investors therefore forgo the benefit of certain regulatory safeguards. For example, issuers of securities are exempted from issuing a full prospectus registered with the Monetary Authority of Singapore in respect of offers that are made only to Accredited Investors, and intermediaries are exempted from a number of business conduct requirements when dealing with Accredited Investors. Investors should consult a professional adviser if they do not understand any consequence of being treated as an Accredited Investor.
If at any time you no longer wish to be treated as an Accredited Investor, you may opt out and cease to be treated as an Accredited Investor by reaching out to us in writing via the EdenX Capital messaging system or at admin@edenxcapital.com. Please allow us 14 business days from the date of receipt of your notice to effect your instruction. We will notify you once your status as a Non-Accredited Investor has been updated in our records. Please note that we will continue to treat you as an Accredited Investor until that date. This means that all services provided by edenX will continue to be exempt under the relevant consent provisions.
As a Non-Accredited Investor, certain products and services provided by or through edenX’s Private Market cannot be made available to you.
Non-Exempt Investors
edenX is only able to deal with Institutional Investors and Accredited Investors for the Private Market. If you are classified as a Non-Exempt Investor, products and services provided by or through edenX’s Private Market cannot be made available to you.
